Personal Coaching Agreement

Agreement for Non-Medical Individual Coaching Services

This Agreement is entered into between NuStart Health, L.L.C. (“NuStart,” “we,” “us,” or “our”) and the undersigned client (“Client,” “you,” or “your”).

1. Nature of the Services

NuStart provides non-medical lifestyle coaching focusing on nutrition, sleep, exercise, and stress management. Depending on your program, the Services may include:

• One-on-one coaching sessions, delivered in person, by phone, or by video;
• Single-topic coaching sessions scheduled at your request;
• Self-guided online lessons and resources, including NuStart Blocks, handouts, and recipes available through the NuStart Hub;
• Email-based support through Ask NuStart;
• Lifestyle assessments and periodic progress check-ins; and
• Group or employer-site wellness programming.

• Non-Medical Status: Our services are educational in nature and do NOT constitute medical care, medical advice, diagnosis, or treatment. NuStart Coaches are not acting as your primary care physicians or licensed medical providers.
• Relationship: Use of these Services does not create a provider-patient relationship. You are encouraged to continue under the care of your licensed healthcare providers and to consult them before making significant lifestyle changes.

2. Client Responsibility

You confirm you are an Indiana resident, 18 or older, and agree to provide accurate information and take responsibility for lifestyle changes.

3. Coaching Records & Data Storage

Your coach maintains written session notes stored securely in NuStart’s client-management platform (currently Hint.com). NuStart is not a HIPAA-covered entity; information collected is not PHI. Data is protected according to NuStart’s Privacy Policy.

4. Subscription & Cancellation

Subscriptions may be self-pay or employer-sponsored and renew automatically monthly.

4.1 Self-Pay Subscriptions

If you are a Self-Pay Client, you agree to pay the full monthly subscription fee directly to NuStart. You authorize NuStart to charge your chosen payment method on a recurring monthly basis through NuStart’s billing platform (currently Hint.com).

4.2 Employer-Sponsored Subscriptions

If you are an Employer-Sponsored Client, your subscription fee may be fully sponsored, partially sponsored, or not sponsored depending on your employer’s arrangement. Where applicable, you authorize NuStart to charge your payment method for any client-responsible portion of the subscription fee.

4.3 Billing & Renewals

All subscriptions renew automatically each month on your billing date. Applicable charges, whether client-responsible or employer-funded, are processed through the billing platform.

4.4 Cancellation

You may cancel your subscription at any time by email, through your client portal, or by phone. Cancellation becomes effective at the end of the current billing cycle. NuStart does not issue prorated refunds unless required by law.

5. Communication Consent

Client authorizes NuStart to contact them via phone, email or SMS. Standard email and SMS are not end-to-end encrypted. You may opt out of SMS messages at any time by replying STOP.

6. Liability & Indemnification

Client agrees that NuStart is not liable for indirect or consequential damages. Client agrees to indemnify NuStart for claims arising from use of Services or violation of this Agreement.

7. Governing Law

This Agreement is governed by the laws of the State of Indiana. Any legal actions must be filed in the courts located in Wabash County, Indiana.

8. Electronic Signature

This Agreement may be completed and signed electronically. Typing your full legal name into the signature field of the online form and submitting the form constitutes your electronic signature, with the same force and effect as a handwritten signature. You will receive a copy of your completed Agreement by email.
